Welcome to the Travelhers App!

To make it easier for you to understand the terms on which we provide our services, we’ve tried to keep these terms and conditions (Terms) as simple as possible by using plain English.

When we talk about “Travelhers”, “we,” “our,” or “us” in these Terms, we are referring to Travelhers Limited (trading as Travelhers), a company registered in England and Wales under company number 14443611with registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

When we talk about the “Travelhers App” or “Services” in these Terms, we are referring to our mobile applications available on the Apple iOS Store and any associated services we offer.

We have also used capitalised words and phrases as shorthand to refer to recurring concepts. Each of these are defined in bold and in brackets after the concepts are first mentioned.

In these Terms:

references to the “App Store” means Apple’s App Store and we refer to their rules and policies contained in the Apple Media Services Terms and Conditions as the “App Store Rules”.

In clauses where we use the phrase “App Store Rules”, we intend for the App Store Rules to apply to users who have obtained the Travelhers App via the Apple App Store.

1. INTRODUCTION

(a) These Terms set out the terms and conditions that apply when you use the Travelhers App.

(b) By downloading or using the Travelhers App, using any services or experiences through Travelhers App, or otherwise engaging with the content on the Travelhers App, you represent and warrant that you:

(i) are a female, at least 18 years old, and have the legal capacity to enter into a binding legal agreement with us; and

(ii) agree to be bound by these Terms.

(c) Please have a careful read through these Terms before using the Services. If you do not agree to these Terms, please do not use the Services.

(d) We may modify our Terms from time to time. If we do, we will post a note on this page or email you. If you continue to use the Services after we modify our Terms, you will be taken to have agreed to the Terms as modified.

2. THESE TERMS

(a) These Terms are an agreement between you and us and Apple is not a party to this agreement and has no responsibility for the Travelhers App or its content.

(b) We license you to download and use the Travelhers App for iOS users, onto any Apple- branded product, and to use it once you have downloaded it, provided you follow all the rules described in these Terms and the App Store Rules.

(c) The licence referred to in clause 2(b):

(i) is only for you personally and for non-commercial use;

(ii) starts when you download the Travelhers App; and

(iii) covers content, materials, or services accessible from, or bought in, the Travelhers App including all of our support resources. It also covers updates to the Travelhers App unless they come with separate terms, in which case we will give you an opportunity to review and accept.

(d) You must comply with the App Store Rules as well as these Terms but, if there is any conflict between them, you should follow the App Store Rules rather than the equivalent rule here.

(e) You do not own the Travelhers App or any of its contents, but you may use it on devices that you own or control, as permitted by these Terms and by the App Store Rules.

(f) If you sell or give away the device on which you have downloaded the Travelhers App, you must first remove the Travelhers App from the device.

(g) You must not:

(i) modify the Travelhers App’s code in any way, including inserting new code, either directly or through the use of another app or piece of software;

(ii) deliberately attempt to avoid or manipulate any security features included in the Travelhers App; or

(iii) pretend that the Travelhers App is your own or make it available for others to download or use (including by way of copying the code of the Travelhers App and creating an independent version).

3. ACCOUNT REGISTRATION

(a) In order to use the Travelhers App, you will be required to sign up for an account (Travelhers Account).

(a) As part of the account registration process, you will also be required to provide a link to your LinkedIn profile, your current job title or designation, and a brief explanation of why you would like to join the Travelhers community.

(b) By signing up for a Travelhers Account, you represent and warrant that you:

(i) are over 18 years of age;

(ii) are a woman (i.e. a person of the female biological sex) as interpreted under the Equality Act 2010 and applicable case law;

(iii) do not have more than one Travelhers Account;

(iv) have not previously been banned or removed from using the Travelhers App, unless we have provided our written consent for you to create a new Travelhers Account; and

(v) have never been convicted of an indictable offence and/or do not have a restraining order against you and/or are not required to register as a sex offender with any government sex offender registry.

(c) When you register for a Travelhers Account, you must provide true, accurate and complete information as requested and keep this information up to date after registration.

(d) You agree that you are solely responsible for:

(i) maintaining the confidentiality and security of your Travelhers Account information and your password; and

(ii) any activities and those of any third party that occur through your Travelhers Account, whether those activities have been authorised by you or not.

(e) You also agree to let us know if you detect any unusual activity on your account as soon as you become aware of it.

(f) You must not share your Travelhers Account login in details and password with any other person. We shall not be responsible to you for, and expressly disclaim any liability for, any cost, loss, damages or expenses arising out of a failure by you to maintain the security of your Travelhers Account information or your password.

4. MEMBERSHIP

4.1 APPLYING FOR MEMBERSHIP

(a) Once you have created an Account, you may submit an application to become a member (Member) with us.

(b) Membership is not automatic. Every application is subject to:

(i) the eligibility criteria set out below;

(ii) Travelhers’ Community Guidelines (accessible https://travelhersapp.com/community-guidelines) and other applicable policies; and

(iii) Travelhers’ application, review and approval process.

Submitting an application or receiving confirmation that your application is under review does not guarantee that you will be admitted as a Member.

4.2 MEMBERSHIP ELIGIBILITY CRITERIA

To be eligible to apply for Travelhers membership (Membership), you must:

(a) be a woman (i.e. a person of the female biological sex) as interpreted under the Equality Act 2010 and applicable case law;

(b) be at least 18 years old;

(c) support the purpose, values and objectives of the Travelhers Community (Community);

(d) be willing to comply with Travelhers’ Community Guidelines; and

(e) satisfy any other reasonable membership criteria communicated to you before or during the application process.

You represent and warrant that all information and statements supplied as part of your application are true, accurate, current and complete.

4.3 MEMBERSHIP APPLICATION INFORMATION

(a) As part of the application process, we will ask you to complete the application process and provide information reasonably required to assess your eligibility, identity, suitability and compatibility with Travelhers’ purpose and community, including:

(i) your full legal name and any name by which you prefer to be known;

(ii) your date of birth or confirmation that you are at least 18 years old;

(iii) your email address and other contact details;

(iv) your town, city, region or country of residence;

(v) the languages you speak;

(vi) a link to your LinkedIn profile;

(vii) information about your interests, reasons for applying and what you hope to contribute to or gain from the Community;

(viii) a photograph or other information reasonably required to confirm your identity; and

(ix) any other information reasonably relevant to the published Membership criteria.

(b) The application may ask you to provide the following information; however, providing this information is optional:

(i) your occupation, profession, industry or business interests; and

(ii) your social-media usernames, handles or profile links.

(c) We will collect your personal information in accordance with our Privacy Policy which is accessible https://travelhersapp.com/privacy.

4.4 REVIEW AND VERIFICATION

(a) You acknowledge and agree that:

(i) we or a third-party verification service provider (Verification Service) may collect your personal information to verify your details; and

(ii) you consent to us and the Verification Service (as applicable) receiving and using this information to enable us to carry out your verification.

(b) You authorise us and the Verification Service (as applicable) to review the information submitted with your application and, where reasonably necessary, to take proportionate steps to confirm its accuracy and assess your application, including without limitation:

(i) reviewing the application and supporting information you provide;

(ii) contacting you to request clarification or further information;

(iii) reviewing professional or social-media profiles that you have supplied or that are publicly accessible;

(iv) checking whether the information provided is consistent with other information legitimately available to us;

(v) conducting an interview, introductory call or identity-verification process; and

(vi) seeking a reference, but only where you have been informed and have provided the relevant contact details.

(c) Any review carried out is for Membership-assessment, community-integrity and safety purposes. It is not a criminal-record check, regulated background check, employment- screening process or guarantee of any applicant’s identity, character, conduct or suitability unless we expressly state otherwise.

4.5 APPLICATION DECISIONS

We may approve, waitlist or request further information in relation to an application. In making a decision, we may take account of whether the applicant:

(a) satisfies the Membership eligibility criteria;

(b) has provided sufficient and verifiable information;

(c) appears willing and able to comply with the Membership rules and Community Guidelines;

(d) is compatible with Travelhers’ purpose and character;

(e) presents any reasonably identified risk to the safety, welfare, privacy, reputation or proper operation of Travelhers’ or its Members.

Any discretion under this clause will be exercised in good faith, consistently with Travelhers’ Community Guidelines and in accordance with applicable law. Unless required by law, we are not obliged to disclose confidential information, internal assessment materials, security procedures or information relating to another person when communicating an application decision.

4.6 ADMISSION TO MEMBERSHIP

You become a Member only when:

(a) your application has been formally approved;

(b) we have sent you written confirmation of admission;

(c) you have accepted the Membership terms and policies; and

(d) any Membership fee due has been paid.

Membership is personal to you and may not be transferred, shared or used by another person.

5. USE OF THE TRAVELHERS APP

(a) You agree that you:

(i) must comply with these Terms at all times while using the Travelhers App;

(ii) must use your real name and age in creating your Travelhers Account and on your profile;

(iii) must treat all the Travelhers App users with respect (both online and when meeting in person); and

(iv) must present yourself respectfully and authentically by uploading at least 1 photo that shows your face.

(v) are solely responsible for any Posted Materials that you upload, submit or otherwise make available through the Travelhers App.

(b) You agree that you must not:

(i) make any misrepresentations, including in relation to your identity, age or any other information you upload to your the Travelhers App profile;

(ii) harass, bully, intimidate, assault, defame, harm or otherwise mistreat another user;

(iii) impersonate, or otherwise misrepresent affiliation, connection or association with, any person or entity;

(iv) upload the image or likeness of another person;

(v) translate, adapt, vary or modify the Travelhers App;

(vi) copy, reproduce, photograph, screenshot, screen-record, record or otherwise capture any part of the Travelhers App or its content for any purpose. If you wish to share or refer another person to the Travelhers App, including a friend, prospective Member or other interested person, you must do so only through the sharing, referral or invitation functionality expressly made available and approved by Travelhers from time to time, which may include an approved digital card or similar feature. You must not share the Travelhers App, its content or access to it by any other means;

(vii) use the Travelhers App in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity;

(viii) defraud, swindle or deceive or attempt to defraud, swindle or deceive another user;

(ix) advertise or solicit any user to buy or sell any product or service on or through the Travelhers App;

(x) disclose personal information about someone else that you do not have the consent to disclose;

(xi) use the Travelhers App to send or upload anything that is (or might be considered to be) defamatory, offensive, obscene, containing or representing sexually explicit images and/or discriminatory (including but not limited to, in relation to race, gender, religious beliefs, sexual orientation or disability);

(xii) use the Travelhers App for the purpose of distributing unsolicited commercial content, junk mail, spam, bulk content or harassment;

(xiii) infringe our or anyone else’s Intellectual Property Rights (defined in clause 9.2(d)), for example, by using or uploading someone else’s image or content;

(xiv) breach or attempt to breach the security of the Travelhers App or the Travelhers’ system security, or otherwise interfere with the normal function of the Travelhers App, including by:

(A) gaining or attempting to gain unauthorised access to Travelhers Accounts, systems or data about other users of the Travelhers App;

(B) scanning, probing or testing the Travelhers App for security vulnerabilities;

(C) overload, flood, mailbomb, crash or submit a virus to the Travelhers App or Travelhers’ system; or

(D) instigate or participate in a denial-of-service attack against the Travelhers App or Travelhers’ system;

(xv) deliberately disrupt the operation of anyone’s website, mobile application, server or business.

(c) The obligations, restrictions and standards of conduct set out in these Terms apply whenever you access or use the Travelhers App, interact or participate with other Members of the Travelhers Community, or attend, organise or participate in any activity, event, trip or other experience made available through the Travelhers App or arranged by you or another Member in connection with the Travelhers Community.

(d) Travelhers reserves the right to suspend or cancel your Travelhers Account and Membership if you fail to comply with the Terms of this clause 4.

(e) While we use reasonable efforts to make sure that the Travelhers App is secure and accurate, we do not actively monitor or check at all times whether information supplied to us through the Travelhers App is factual, exact, confidential, commercially sensitive or valuable.

6. MEMBER CONNECTIONS AND ACTIVITIES

6.1 CONNECTING WITH MEMBERS

(a) Once you have been admitted as a Member and granted access to the members-only areas of the Travelhers App, you may be able to:

(i) view profiles and other information made available by other Members;

(ii) search for or discover Members based on location, interests, occupation, languages spoken, travel plans or other profile information;

(iii) send, receive, accept, decline or withdraw connection requests;

(iv) communicate with Members through the messaging, group or other communication features made available through the Travelhers App; and

(v) manage your connections, privacy preferences and visibility through the settings made available to you.

(b) Access to another Member’s profile does not give you any right to contact, connect with or meet that Member. Each Member has complete discretion as to whether to accept, decline, ignore, withdraw or terminate a connection or communication.

(c) You must respect the choices, privacy and personal boundaries of other Members. You must not repeatedly contact a Member who has declined or failed to respond to a request, or otherwise engage in conduct that could reasonably be considered unwanted, intrusive, harassing or intimidating.

6.2 MEMBER CREATED ACTIVITIES AND PLANS

(a) The Travelhers App may allow Members to create, publish, share or express an interest in proposed activities, plans or events, including:

(i) holidays, trips, excursions and other travel plans;

(ii) concerts, performances and other entertainment events;

(iii) exhibitions, gallery openings, museums and cultural events;

(iv) dinners, lunches, drinks, coffee meetings and other social gatherings;

(v) professional, networking, sporting or recreational activities; and

(vi) any other activity permitted under these Terms and the Community Guidelines.

(b) A Member who creates or publishes an activity is referred to in these Terms as the “Organising Member.” A proposed activity may be visible to all Members, to selected Members, to an invitation-only group or to Members meeting criteria chosen by the Organising Member, depending on the features available through the Travelhers App.

(c) The Organising Member must provide information that is accurate and not misleading, including, where applicable, the proposed date, time, location, nature of the activity, expected costs, capacity, eligibility requirements and any material conditions or risks known to the Organising Member.

(d) An Organising Member must not publish an activity that is unlawful, unsafe, fraudulent, misleading, discriminatory contrary to applicable law, commercially exploitative without our approval, or inconsistent with the purpose of the Travelhers App or the Community Guidelines.

6.3 REQUEST TO JOIN AN ACTIVITY

(a) Where an activity permits requests to join, a Member may submit a request to participate using the functionality available through the Travelhers App.

(b) Submitting a request does not guarantee participation and does not create a contract, booking, reservation or entitlement to attend. The Organising Member has sole discretion to accept, decline, defer or ignore a request, subject to these Terms, the Community Guidelines and applicable law.

(c) The Organising Member may determine:

(i) the maximum number of participants;

(ii) any reasonable participation criteria disclosed in the activity listing;

(iii) whether to accept a particular Member;

(iv) whether to maintain a waiting list;

(v) whether to close, amend, postpone or cancel the activity; and

(vi) whether to remove a participant where reasonably necessary for safety, capacity, behavioural or organisational reasons.

(d) A Member whose request has been accepted remains free to decide whether to participate. Acceptance of a request does not require either Member to connect through the Travelhers App, communicate outside the Travelhers App or meet in person.

6.4 STATUS OF MEMBER ACTIVITIES

(a) Unless an activity is expressly identified within the Travelhers App as being organised, operated or supplied by us, all member-created activities are arranged independently by the Members involved.

(b) In relation to any Member-created activity:

(i) we are not the organiser, travel agent, tour operator, ticket agent, venue provider, transport provider, accommodation provider or supplier of the activity;

(ii) we do not supervise, control or manage the activity or the conduct of the Members participating in it;

(iii) we are not a party to any arrangement, agreement, booking, payment or understanding made between Members or between a Member and a third-party supplier;

(iv) the Organising Member is not our employee, worker, partner, agent or authorised representative and has no authority to make commitments, representations or warranties on our behalf;

(v) each Member is responsible for independently assessing whether the activity is appropriate and safe for them; and

(vi) any arrangement made between Members is entered into at their own discretion and risk.

(c) The availability of a listing, profile, connection or communication feature through the Travelhers App does not constitute our endorsement, approval or recommendation of any Member, activity, venue, destination or third-party supplier.

6.5 COSTS, BOOKINGS AND THIRD PARTY ARRANGEMENTS

(a) The Organising Member must clearly disclose any known or anticipated costs associated with an activity. Unless we expressly provide an authorised payment facility for a particular activity, Members are responsible for agreeing between themselves how costs will be allocated and paid.

(b) Members must exercise appropriate care before making payments to another Member or to a third party. We are not responsible for:

(i) payments made outside the Travelhers App;

(ii) deposits, ticket purchases, bookings or other financial commitments made by a Member;

(iii) the insolvency, failure or conduct of a travel, accommodation, transport, venue, ticketing or other third-party provider;

(iv) changes, delays, cancellations, losses or additional costs relating to an activity; or

(v) disputes between Members concerning payments, refunds, expenses or the performance of an arrangement.

(c) Each Member is responsible for obtaining any passports, visas, insurance, vaccinations, permissions, tickets or other documents or arrangements required for an activity or trip.

6.6 MEMBER CONDUCT AND COMPATIBILITY

(a) We may operate membership and account-review processes intended to support the integrity of the community. However, those processes are limited and must not be treated as a guarantee of any Member’s identity, background, character, intentions, conduct, reliability, suitability or safety.

(b) The Travelhers App makes no representations or warranties as to the conduct or compatibility of its users. In particular, we do not guarantee that:

(i) the information provided by a Member is accurate, complete or current;

(ii) a Member is compatible with you or shares your expectations, interests or values;

(iii) a Member will behave appropriately, lawfully or safely;

(iv) an activity will proceed as described or at all; or

(v) interactions between Members will be satisfactory or free from risk.

6.7 IN-PERSON SAFETY

When meeting another Member in person, you should take reasonable safety precautions appropriate to the circumstances, including without limitation:

(a) meeting in a public and populated place;

(b) informing a trusted person of your plans and expected return time;

(c) arranging your own transport and maintaining access to sufficient funds and a charged telephone;

(d) avoiding sharing sensitive personal, financial or location information until you are comfortable doing so;

(e) independently confirming travel, accommodation, venue and ticketing arrangements;

(f) refraining from transferring money or making substantial financial commitments where you have not adequately verified the recipient or arrangement;

(g) leaving an interaction or activity where you feel uncomfortable or unsafe; and

(h) contacting the emergency services where you believe that you or another person is in immediate danger.

Safety guidance provided through the Travelhers App is general information only. It does not replace your own judgment, professional advice or assistance from the emergency services.

6.8 REPORTING, BLOCKING AND ENFORCEMENT

(a) You may use the reporting or blocking tools available through the Travelhers App where another Member:

(i) behaves in an abusive, threatening, harassing, discriminatory, fraudulent or otherwise inappropriate manner;

(ii) provides false or misleading information;

(iii) publishes an unsafe, unlawful or misleading activity;

(iv) repeatedly makes unwanted contact;

(v) misuses personal information; or

(vi) breaches these Terms or the Community Guidelines.

(b) We may review reports and take such action as we consider reasonably appropriate, including issuing a warning, restricting communications, removing content, suspending an account, cancelling an activity or terminating Membership.

(c) We are not required to mediate private disputes between Members or to disclose confidential information concerning an investigation, report, reporting Member or enforcement decision. Nothing in this clause limits your right to contact the police, emergency services, a regulator or another competent authority.

7. FEES AND PAYMENT

7.1 FREE VERSION

(a) At present, we do not charge a membership or subscription fee for access to the Travelhers App or its standard Membership features.

(b) Creating an Account, submitting a Membership application or being admitted as a Member does not currently require payment unless a fee is expressly stated before you complete the relevant transaction.

7.2 SUBSCRIPTION FEES

(a) We may introduce membership, subscription or other access fees in the future.

(b) Before any new fee becomes payable, we will provide you with reasonable advance notice and provide information relating to:

(i) the amount of the fee;

(ii) whether the fee is payable monthly, annually or on another stated basis;

(iii) the features, services or membership benefits covered by the fee;

(iv) the date from which the fee will apply;

(v) the available payment methods;

(vi) whether the subscription will renew automatically; or

(vii) how you may decline, cancel or allow your membership to end if you do not wish to pay the fee.

(c) We will not charge you a new subscription fee solely because you already have an account or membership unless you have first been informed of the fee and have taken any steps required to accept the paid subscription.

(d) If you do not agree to a newly introduced subscription fee, you may choose not to purchase the subscription. Depending on the membership model in force at that time, your access to some or all paid features may be restricted or your membership may end at the conclusion of any applicable notice or transition period.

7.3 PAYMENT METHODS

We may use third-party payment providers, for example, Apple Pay (Payment Providers) to collect the Fees. The processing of payments by the Payment Provider will be, in addition to these Terms, subject to the terms, conditions and privacy policies of the Payment Provider and we are not liable for the security or performance of the Payment Provider. We reserve the right to correct, or to instruct our Payment Provider to correct, any errors or mistakes in collecting your payment.

7.4 VAT

Unless otherwise indicated, the platform fee does not include VAT. In relation to any VAT payable for a taxable supply by us, you must pay the VAT subject to us providing you a tax invoice.

8. TERMINATION

8.1 TERMINATION BY YOU

(a) You may suspend or terminate this agreement and your use of the Travelhers App at any time by:

(i) temporarily deactivating or suspending your account using the functionality made available through the Travelhers App;

(ii) closing or deleting your Account through the Travelhers App;

(iii) submitting an Account-closure request by sending us an email at support@travelhersapp.com; or

(iv) ceasing to use the Travelhers App and cancelling any active subscription in accordance with the applicable cancellation process.

(b) Suspending or terminating your Account will not automatically cancel any paid subscription unless you separately complete the required subscription-cancellation process.

(c) During any voluntary suspension, your profile may no longer be visible to other Members and you may be unable to access some or all features of the Travelhers App. We may continue to retain your Account information in accordance with our Privacy Policy.

(d) Where permitted, you may reactivate a suspended account through the Travelhers App, provided that your Membership has not expired or otherwise been terminated.

8.2 CANCELLATION BY US

(a) We may suspend, restrict or terminate this agreement, your Membership, your Account or your access to any part of the Travelhers App:

(i) by giving you at least 30 days’ written notice where we terminate for a lawful business, commercial or operational reason;

(ii) with immediate effect where you commit a material breach of this agreement, the Membership Rules, the Community Guidelines or any other applicable policy;

(iii) where you commit a breach that is capable of remedy and fail to remedy it within the period specified in a written notice from us;

(iv) where you repeatedly breach this agreement or our policies;

(v) where you provide false, misleading, fraudulent or materially incomplete information;

(vi) where you no longer satisfy the applicable Membership eligibility criteria;

(vii) where you fail to pay any fee due and do not remedy the failure within a reasonable period after receiving notice;

(viii) where you misuse the Travelhers App, another Member’s personal information or any messaging, reporting, payment or activity-publishing feature;

(ix) where your conduct is threatening, abusive, harassing, discriminatory, fraudulent, unlawful or reasonably considered likely to place another person at risk;

(x) where you impersonate another person, permit another person to use your account or attempt to circumvent a restriction, suspension or previous termination;

(xi) where suspension or termination is reasonably necessary to protect Members, users, the Company, the Travelhers App or any third party from harm, fraud, misuse, security threats or unlawful conduct;

(xii) where we are required to do so by law, regulation, court order or a competent authority;

(xiii) where continued access would create a material legal, regulatory, security, reputational or safety risk;

(xiv) where we discontinue the Travelhers App, the membership service or a material part of it; or

(xv) in connection with the insolvency, administration, liquidation, dissolution or winding up of the Company, other than for the purpose of a solvent reconstruction or reorganisation.

(b) Where the circumstances are urgent or involve a credible safety, fraud, security or legal risk, we may suspend or terminate your access without giving advance notice.

(c) We may temporarily suspend or restrict your account while investigating a suspected breach, complaint, security concern or safety issue. Where appropriate and lawful, we will notify you of the suspension and provide you with a reasonable opportunity to respond.

8.3 EFFECT OF TERMINATION

(a) During any suspension, we may restrict your access to some or all features of the Travelhers App, hide your profile and prevent you from contacting other Members or creating or joining activities.

(b) Upon cancellation or termination of your Account:

(i) your right to access and use the Travelhers App and any Members-only features will end;

(ii) your profile, pending requests and Membership privileges may be removed or cancelled;

(iii) you must stop representing yourself as a current Member;

(iv) you will remain responsible for any fees or liabilities incurred before termination; and

(v) any provisions intended to continue after termination will remain in effect.

(c) Subject to our legal and regulatory retention obligations, we may delete any Posted Materials associated with your Account. You may not be able to recover those Posted Materials after cancellation or termination, and you should therefore retain your own copies of anything important to you before closing your Account.

(d) To the fullest extent permitted by law, we will not be responsible for any cost, loss, damage or expense arising from the cancellation or termination of your Account or the deletion or loss of any Posted Materials.

8.4 SURVIVAL

Any clause that by its nature would reasonably be expected to be performed after the termination of these Terms will survive and be enforceable after such termination.

9. YOUR CONTENT

9.1 TYPES OF CONTENT

(a) As part of using the Travelhers App, you will be able to upload images, content, interests, information and materials you share with us or the public (including feedback and suggestions), including by using the features of the Travelhers App, sharing content on social media or by contacting us, or when you register a Travelhers Account (Posted Materials).

(b) By uploading, submitting or otherwise providing any Posted Materials, you retain ownership of any Intellectual Property Rights in those Posted Materials. You grant Travelhers a licence as mentioned in clause 9.3. You confirm that you have all necessary rights and permissions to provide the Posted Materials and to grant Travelhers the rights set out in this clause.

9.2 POSTED MATERIALS

By providing or posting any Posted Materials, you represent and warrant that:

(a) you are authorised to provide the Posted Materials;

(b) the Posted Materials are free from any harmful, discriminatory, defamatory or maliciously false implications and do not contain any deceptive, offensive, obscene or explicit material;

(c) the Posted Materials are not “passing off” of any product or service and does not constitute unfair competition;

(d) you own, or have obtained all necessary rights, licences, permissions and consents to use and provide, such Posted Materials and that their use by Travelhers in accordance with these Terms do not infringe any and all present and future intellectual and industrial property rights throughout the world (whether registered or unregistered), including copyright, trade marks, designs, patents, moral rights, semiconductor and circuit layout rights, trade, business, company and domain names, and other proprietary rights, trade secrets, know-how, technical data, confidential information and the right to have information kept confidential, or any rights to registration of such rights (including renewal), whether created before or after the date of this agreement (Intellectual Property Rights), or other rights of any third party;

(e) the Posted Materials are accurate and true at the time they are provided;

(f) any Posted Materials which are in the form of a review or feedback is honest, accurate and presents a fair view of the relevant person and/or your experience;

(g) the Posted Materials do not contain any viruses or other harmful code, or otherwise compromise the security or integrity of any network or system; and

(h) the Posted Materials do not breach or infringe any applicable laws, regulations or orders.

9.3 POSTED MATERIALS – IP LICENCE

By uploading any Posted Materials, you grant to Travelhers (and its directors, officers, employees, contractors, agents, platform partners or service providers) a worldwide and royalty-free licence (including the right to sublicense) to use, copy, modify, reproduce, publish, adapt, distribute and otherwise use any Intellectual Property Rights in that Posted Material for the purposes of operating, providing, maintaining, promoting and improving the App and its services including through emails, newsletters, social media and other marketing and promotional materials, for as long as you have an account with us and for six years following the closure or termination of your Travelhers Account.

9.4 REMOVAL OF POSTED MATERIALS

We shall not have any obligations to screen Posted Materials in advance of them being posted and your compliance with these Terms is your responsibility. However, we may, if we choose, review and remove any Posted Materials at any time without giving any explanation or justification for removing the material and/or information.

10. OUR CONTENT

(a) Unless we indicate otherwise, all materials used in the Travelhers App (including text, graphics, logos, icons, sound recordings, videos and software) are subject to Intellectual Property Rights that are owned or licensed by us.

(b) You can only access and use these materials for the sole purpose of enabling you to use the Travelhers App in accordance with these Terms, except to the extent permitted by law or where you have received prior written approval from us.

11. THIRD PARTIES

11.1 THIRD PARTY CONTENT

The Travelhers App may contain text, images, data and other content provided by a third party (Third Party Content). We are not responsible for any of this Third Party Content and we make no representation or warranty about the quality, suitability, accuracy, reliability, currency or completeness of any Third Party Content.

11.2 THIRD PARTY LINKS

The Travelhers App may also contain links to websites operated by third parties (Third Party Links). Third Party Links are provided for convenience and may not remain current or be maintained. We do not endorse and are not responsible for Third Party Links and have no control over or rights in linked websites.

11.3 THIRD PARTY TERMS AND CONDITIONS

By using the Travelhers App, or any other third party service, you acknowledge and agree that third party terms and conditions (Third Party Terms) may apply (including app store providers such as Apple). You agree to any Third Party Terms applicable to any third party goods and services, and Travelhers will not be liable for any loss or damage suffered by you in connection with such Third Party Terms.

12. NOTICE REGARDING APPLE

If you are accessing the Travelhers App from the Apple, Inc. (Apple) iOS Store, you acknowledge and agree:

(a) these Terms are between you and Travelhers and not with Apple. Apple is not responsible for the Travelhers App or any content available on the Travelhers App;

(b) Apple has no obligation whatsoever to furnish any maintenance and support services for the Travelhers App;

(c) in the event of any failure of Travelhers to conform to any applicable warranty, you may notify Apple, and Apple will refund the price for the Travelhers App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Travelhers App, and any other claims, losses, liabilities, damages, costs of expenses attributable to any failure to conform to any warranty will be the Travelhers’s responsibility;

(d) Apple is not responsible for addressing any claims by you or any third party relating to the Travelhers App, including, but not limited to:

(i) product liability claims;

(ii) any claim that the Travelhers App fails to conform to any applicable legal or regulatory requirement; and

(iii) claims arising under consumer protection, privacy, or similar legislation;

(e) in the event of any third party claim that the Travelhers App or your use of the Travelhers App infringes any third party’s intellectual property rights, Apple will not be responsible for the investigation, defence, settlement and discharge of any such claim;

(f) that you represent and warrant that:

(i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting’” country; and

(ii) you are not listed on any U.S. Government list of prohibited or restricted parties;

(g) you must comply with applicable third party terms of agreement when using the Travelhers App; and

(h) Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary.

13. OPERATION OF THE TRAVELHERS APP DEPENDENT ON THIRD PARTIES

You acknowledge that the Travelhers App are dependent on software and hardware developed by third party providers. If following an update by such third party provider, the Travelhers App can no longer function as they did prior to the update, we will not (to the maximum extent permitted by law) be liable to you for any loss or damage you might suffer as a result.

14. SERVICE LIMITATIONS

The Travelhers App are made available to you strictly on an ‘as is’ basis. We do not guarantee, and make no warranties, to the extent permitted by law, that:

(a) the Travelhers App will be free from errors or defects;

(b) the Travelhers App will be accessible or available at all times;

(c) messages, if any, sent through the Travelhers App will be delivered promptly, or delivered at all;

(d) information you receive or supply through the Travelhers App will be secure or confidential; or

(e) any information provided through the Travelhers App is accurate or true.

15. SECURITY

We do not accept responsibility for any unauthorised use, destruction, loss, damage or alteration to your data or information (including Posted Materials), your computer systems, mobile phones or other electronic devices arising in connection with use of the Travelhers App. You should take your own precautions to ensure that the process which you employ for accessing the

Travelhers App does not expose you to the risk of hacking, malware, ransomware, viruses, malicious computer code or other forms of interference.

16. LIABILITY

(a) Nothing in these Terms shall exclude or limit a party’s liability for fraud or intentional unlawful conduct by a party, or death or personal injury resulting from a party’s negligence.

(b) To the maximum extent permitted by applicable law, the Travelhers limits all liability to any person for loss or damage of any kind, however arising whether in contract, tort (including negligence), statute, equity, indemnity or otherwise, arising from or relating in any way to the Travelhers App to £100 in aggregate. This includes the transmission of any computer virus.

(c) You agree to indemnify Travelhers and its directors, contractors, shareholders, employees, contractors and agents in respect of all liability for loss, damage or injury which may be suffered by any person arising from, or in connection with, you or your representatives use of the Travelhers App and/or breach of these Terms.

(d) All express or implied representations and warranties given by us are, to the maximum extent permitted by applicable law, excluded.

(e) To the maximum extent permitted by law, under no circumstances will Travelhers be liable for any incidental, special or consequential loss or damages, or damages for loss of data, business or business opportunity, goodwill, anticipated savings, profits or revenue arising under or in connection with the Travelhers App, these Terms or their subject matter (except to the extent this liability cannot be excluded under applicable law).

(f) To the extent that the provisions of any applicable law shall impose restrictions on the extent to which liability can be excluded under these Terms including, for the avoidance of doubt, the provisions of sections 3, 6 and 11 of the *Unfair Contract Terms Act 1977* in the UK (and its equivalent in any other jurisdiction) relating to the requirement of reasonableness, the exclusions set out in this clause shall be limited in accordance with such restrictions. However, any exclusions of liability that are not affected by such restrictions shall remain in full force and effect.

17. PRIVACY AND DATA PROTECTION

17.1 PRIVACY

Protecting your personal information is important to us. Our Privacy Policy, which is available at [https://travelhersapp.com/privacy](https://travelhersapp.com/privacy), explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to it and how to contact us and supervisory authorities if you have a query or complaint.

17.2 DATA PROTECTION

(a) Words and phrases in this clause shall have the meaning given to them by applicable data protection and privacy laws, including the retained EU law version of the General Data Protection Regulation 2016/679 (UK GDPR) and applicable national legislation that implements or supplements the GDPR or otherwise applies to data protection and privacy, and any statutory instrument, order, rule or regulation made thereunder, as from time to time amended, extended, re-enacted or consolidated (Data Protection Legislation) and the terms “controller”, “processor”, “process” and “personal data” shall have the meanings given to those terms in such Data Protection Legislation.

(b) During and after the use of the Travelhers App, you agree that Travelhers will be processing personal data for its own purposes and as such will be a controller under the Data Protection Legislation and this includes (but is not limited to) the following purposes:

(i) Travelhers providing the Travelhers App and associated services under these Terms;

(ii) Travelhers may process personal data concerning its other users, clients and contacts in other ways for its own business purposes;

(iii) Travelhers may process and transfer personal data as necessary to effect a re- organisation or restructuring of its business and assets; and

(iv) Travelhers may share personal data with other legal or professional advisers used by us to provide us with legal or professional services.

(c) Travelhers shall sell, share or disclose your personal data or contact details with third parties or affiliates for marketing, advertising or promotional purposes in accordance with our Privacy Policy.

(d) During and after the use of the Travelhers App, there may be limited occasions where Travelhers may process on your behalf as a processor any personal data you have provided to Travelhers. Travelhers will advise you in writing where Travelhers believes it may act as a processor and any such processing shall be in accordance with, and subject to, your instructions.

(e) Before performing the processing, Travelhers shall document within the instructions the subject matter and duration of the processing, the nature and purpose of the processing, the types of personal data and categories of data subjects and the other terms prescribed by the Data Protection Legislation. Travelhers will ensure that all appropriate technical and organisational measures are taken to protect any personal data supplied by you to Travelhers against unauthorised or unlawful processing, accidental loss, destruction or damage, including when Travelhers subcontract any processing (for example, in the case of external storage of data).

(f) Your instructions are taken to include the use by Travelhers, where appropriate, of independent contractors and third party suppliers appointed by us for functions such as data and file storage, back-up, destruction, legal processing and the like, in accordance with the foregoing.

(g) By accepting this agreement, you give positive consent for Travelhers to obtain, store and process information about you as described in the preceding clauses. You agree that where necessary you will have satisfied relevant statutory ground under the Data Protection Legislation in connection with the above-described categories of processing, before providing Travelhers with personal data. It is also a term of this agreement that any personal data supplied by Travelhers to you about any third parties may only be used for the express purposes for which that information is provided to you.

(h) Each party shall comply with the terms of the Data Protection Legislation.

18. LOCATION DATA

(a) The Travelhers App makes use of functionalities on your device that may identify your approximate location or the general area in which you are located.

(b) When you open the Travelhers App for the first time, you will be asked whether the Travelhers App can use your location and in what circumstances.

(c) If you refused to authorise the location services the first time you opened the Travelhers App, but change your mind later on, you can still update your choices at any time in the Travelhers App settings. Conversely, you can also turn the location services off at any time, but please note that if you do choose to do so, you may not be able to use the Travelhers App.

(d) All location data is processed pursuant to our Privacy Policy (see clause 17 above).

19. UPDATES TO THE TRAVELHERS APP

(a) We may update the Travelhers App from time to time for reasons that include fixing bugs or enhancing functionality. We might also change or remove functionality but if we do that, we will ensure that the Travelhers App still meets the description of it that was provided to you at the time you downloaded the Travelhers App.

(b) Updates will either download automatically or you may need to trigger them yourself, depending on your device, its settings and the Travelhers App Store.

(c) We strongly suggest that you download all updates as soon as they become available. Depending on the nature of the update, the Travelhers App may not work properly (or at

all), or you may be exposed to security vulnerabilities, if you do not keep the Travelhers App updated to the latest version that we make available.

20. DISPUTE RESOLUTION

(a) A party claiming that a dispute has arisen under or in connection with these Terms must not commence court proceedings arising from or relating to the dispute, other than a claim for urgent interlocutory injunction, unless that party has complied with the requirements of this clause.

(b) A party that requires resolution of a dispute which arises under or in connection with these Terms must give the other party or parties to the dispute written notice containing reasonable details of the dispute and requiring its resolution under this clause.

(c) Once the dispute notice has been given, each party to the dispute must then use its best efforts to resolve the dispute in good faith. If the dispute is not resolved within a period of 30 days (or such other period as agreed by the parties in writing) after the date of the notice, any party to the dispute may take legal proceedings to resolve the dispute.

21. NOTICES

(a) A notice or other communication to a party under this agreement must be:

(i) in writing and in English; and

(ii) delivered via email to the other party, to the email address specified in this agreement, or if no email address is specified in this agreement, then the email address most regularly used by the parties to correspond regarding the subject matter of this agreement as at the date of acceptance of these Terms (Email Address). The parties may update their Email Address by notice to the other party.

(b) Unless the party sending the notice knows or reasonably ought to suspect that an email was not delivered to the other party’s Email Address, notice will be taken to be given:

(i) 24 hours after the email was sent, unless that falls on a Saturday, Sunday or a public holiday in the jurisdiction whose laws govern this agreement, in which case the notice will be taken to be given on the next occurring business day in that jurisdiction, unless that falls on a Saturday, Sunday or a public holiday in the jurisdiction whose laws govern this agreement, in which case the notice will be taken to be given on the next occurring business day in that jurisdiction; or

(ii) when replied to by the other party,

whichever is earlier.

22. GENERAL

22.1 GOVERNING LAW AND JURISDICTION

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or its subject matter or formation.

22.2 THIRD PARTY RIGHTS

This agreement does not give rise to any rights under the *Contracts (Rights of Third Parties) Act 1999* to enforce any term of this agreement.

22.3 WAIVER

No party to this agreement may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

22.4 SEVERANCE

Any term of this agreement which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of this agreement is not limited or otherwise affected.

22.5 JOINT AND SEVERAL LIABILITY

An obligation or a liability assumed by, or a right conferred on, two or more persons binds or benefits them jointly and severally.

22.6 ASSIGNMENT

(a) You shall not assign, novate or otherwise transfer any of its rights or obligations under these Terms without Travelhers’ prior written consent.

(b) Travelhers may assign any of its rights under these Terms without your consent. Travelhers may novate or otherwise transfer its rights and obligations under these Terms to any person in connection with a merger, acquisition, corporate reorganisation, restructuring or sale of all or substantially all of its business or assets, subject to any consent required by applicable law.

22.7 COSTS

Except as otherwise provided in this agreement, each party must pay its own costs and expenses in connection with negotiating, preparing, executing and performing this agreement.

22.8 ENTIRE AGREEMENT

This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of this agreement.

22.9 INTERPRETATION

(a) (singular and plural) words in the singular includes the plural (and vice versa);

(b) (gender) words indicating a gender includes the corresponding words of any other gender;

(c) (defined terms) if a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;

(d) (person) a reference to “person” or “you” includes an individual, the estate of an individual, a corporation, an authority, an association, consortium or joint venture (whether incorporated or unincorporated), a partnership, a trust and any other entity;

(e) (party) a reference to a party includes that party’s executors, administrators, successors and permitted assigns, including persons taking by way of novation and, in the case of a trustee, includes any substituted or additional trustee;

(f) (this agreement or these Terms) a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure is a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure to or of this agreement, and a reference to this agreement includes all schedules, exhibits, attachments and annexures to it;

(g) (headings) headings and words in bold type are for convenience only and do not affect interpretation;

(h) (includes) the word “includes” and similar words in any form is not a word of limitation;

(i) (written or in writing) includes communication via email; and

(j) (adverse interpretation) no provision of this agreement will be interpreted adversely to a party because that party was responsible for the preparation of this agreement or that provision.
